1. Parties and acceptance
This End User License Agreement ("EULA") is a legal agreement between you ("Licensee" or "you") and Garden Affairs, a company based in the Kingdom of Bahrain ("Licensor", "we", "us"), for the use of the GulfGrow mobile application, including any associated media, printed materials, electronic documentation, and updates (collectively, the "Software").
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.
2. Grant of licence
Subject to your compliance with this EULA and our Terms of Use, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software on devices that you own or control, solely for your personal, non-commercial purposes.
3. Apple-specific terms
If you obtained the Software from the Apple App Store, the following additional terms apply:
(a) This EULA is concluded between you and Garden Affairs only, and not with Apple Inc. Garden Affairs is solely responsible for the Software and its content.
(b) The licence is limited to use of the Software on any Apple-branded device that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms.
(c) Apple has no obligation to provide maintenance or support services for the Software.
(d) If the Software fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Software.
(e) Garden Affairs (and not Apple) is responsible for addressing any product liability claims, claims that the Software fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
(f) Garden Affairs (and not Apple) is responsible for the investigation, defence, settlement and discharge of any third-party intellectual property infringement claim relating to the Software.
(g) You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
(h) Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance, will have the right (and will be deemed to have accepted the right) to enforce this EULA against you.
4. Google-specific terms
If you obtained the Software from Google Play, your use of the Software is also governed by the Google Play Terms of Service. Google is not a party to this EULA and is not responsible for the Software.
5. Restrictions
You may not, and may not permit any third party to:
- Copy the Software, except as expressly permitted by this EULA;
- Modify, adapt, translate, or create derivative works of the Software;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent that this restriction is prohibited by applicable law;
- Rent, lease, lend, sell, redistribute, or sublicense the Software;
- Remove or alter any proprietary notices, labels, or marks on or in the Software;
- Use the Software to develop a competing product;
- Use the Software in any unlawful manner or for any unlawful purpose.
6. Intellectual property
The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. The Software is protected by copyright, trademark, and other laws of Bahrain and other countries. The names "GulfGrow" and "Garden Affairs" and associated logos are trademarks of Garden Affairs.
7. Updates
We may, from time to time, provide updates to the Software. Updates may add, modify, or remove features. This EULA governs any update unless the update is accompanied by a separate licence, in which case the terms of that licence will govern.
8. Subscription
Access to the full functionality of the Software requires an active subscription. Subscription terms are described in the GulfGrow Terms of Use. Payment is processed by Apple App Store or Google Play.
9. Disclaimer of warranties
The Software is provided "AS IS" and "AS AVAILABLE", with all faults and without warranty of any kind. To the maximum extent permitted by law, Garden Affairs disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement. We do not warrant that the Software will meet your requirements, operate uninterrupted, or be free of errors.
10. Limitation of liability
To the maximum extent permitted by applicable law, in no event shall Garden Affairs be liable for any indirect, incidental, special, consequential, or punitive damages, including damages for lost plants, lost crops, lost time, lost data, or lost profits, arising out of or relating to your use of the Software, regardless of the legal theory. Our total aggregate liability for any claim arising under this EULA shall not exceed the amount paid by you to us for the Software (including subscription fees) in the 12 months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you.
11. Term and termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice from Garden Affairs if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control. Sections 5, 6, 9, 10, 12, and 13 will survive termination.
12. Export compliance
You agree to comply with all applicable export laws and regulations. The Software may not be exported or re-exported into any country to which export is prohibited by such laws.
13. Governing law and jurisdiction
This EULA is governed by the laws of the Kingdom of Bahrain, without regard to its conflict-of-law rules. Any dispute arising out of this EULA shall be subject to the exclusive jurisdiction of the competent courts of Bahrain, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
14. General
This EULA, together with the GulfGrow Terms of Use and Privacy Policy, constitutes the entire agreement between you and Garden Affairs concerning the Software, and supersedes all prior or contemporaneous communications. If any provision of this EULA is held to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of this EULA will not be deemed a waiver of such right or provision.

1. الأطراف والقبول
اتفاقية ترخيص المستخدم النهائي ("الاتفاقية") هذه اتفاقية قانونية بينك ("المرخَّص له" أو "أنت") وشركة Garden Affairs، وهي شركة مقرّها مملكة البحرين ("المرخِّص"، "نحن"، "لنا")، بشأن استخدام تطبيق GulfGrow الجوّال، بما في ذلك أي وسائط أو مواد مطبوعة أو وثائق إلكترونية أو تحديثات مرتبطة به (يُشار إليها مجتمعةً بـ"البرنامج").
بتثبيت البرنامج أو نسخه أو استخدامه بأي شكل، فإنك توافق على الالتزام بشروط هذه الاتفاقية. إن لم توافق، فلا تثبّت البرنامج أو تستخدمه.
2. منح الترخيص
وفق التزامك بهذه الاتفاقية وبـشروط الاستخدام، نمنحك ترخيصًا محدودًا، شخصيًا، غير حصري، غير قابل للتحويل، غير قابل للترخيص من الباطن، وقابلًا للإلغاء، لتثبيت البرنامج واستخدامه على الأجهزة التي تملكها أو تتحكّم بها، حصرًا لأغراضك الشخصية وغير التجارية.
3. شروط خاصة بـ Apple
إذا حصلت على البرنامج من متجر Apple App Store، فإن الشروط الإضافية التالية تنطبق:
(أ) تُبرم هذه الاتفاقية بينك وبين Garden Affairs فقط، وليس مع Apple Inc. شركة Garden Affairs هي المسؤولة وحدها عن البرنامج ومحتواه.
(ب) ينحصر الترخيص في استخدام البرنامج على أي جهاز من إنتاج Apple تملكه أو تتحكّم به، وحسب قواعد الاستخدام الواردة في شروط خدمات Apple Media.
(ج) ليست Apple ملزمة بتقديم خدمات صيانة أو دعم للبرنامج.
(د) إذا فشل البرنامج في مطابقة أي ضمان معمول به، يمكنك إخطار Apple، وستُعيد لك Apple ثمن الشراء (إن وُجد). إلى أقصى حد يسمح به القانون، ليست لدى Apple أي التزام ضمان آخر تجاه البرنامج.
(هـ) Garden Affairs (وليست Apple) هي المسؤولة عن التعامل مع أي مطالبات تتعلق بمسؤولية المنتج، أو ادعاءات بعدم مطابقة البرنامج لأي متطلب قانوني أو تنظيمي معمول به، أو مطالبات ناشئة عن قوانين حماية المستهلك أو ما يماثلها.
(و) Garden Affairs (وليست Apple) هي المسؤولة عن التحقيق في أي ادعاء بانتهاك حقوق ملكية فكرية لطرف ثالث يتعلّق بالبرنامج والدفاع عنه وتسويته وإنهائه.
(ز) أنت تُقرّ وتضمن أنك (1) لست في بلد يخضع لحظر من حكومة الولايات المتحدة، أو صنّفته الحكومة الأمريكية بأنه "داعم للإرهاب"؛ و(2) لست مدرجًا في أي قائمة حكومية أمريكية للأطراف المحظورة أو المقيّدة.
(ح) Apple وشركاتها التابعة هما طرف ثالث مستفيد من هذه الاتفاقية، ولهما الحق — ويُعتبَران قد قبِلا هذا الحق — في إنفاذ هذه الاتفاقية ضدّك عند قبولك لها.
4. شروط خاصة بـ Google
إذا حصلت على البرنامج من Google Play، فإن استخدامك للبرنامج يخضع أيضًا لشروط خدمة Google Play. Google ليست طرفًا في هذه الاتفاقية وليست مسؤولة عن البرنامج.
5. القيود
لا يحقّ لك، ولا يحقّ لأي طرف ثالث بتفويض منك، أن:
- تنسخ البرنامج، إلا بما تسمح به هذه الاتفاقية صراحةً؛
- تعدّل البرنامج أو تكيّفه أو تترجمه أو تنشئ منه أعمالًا مشتقّة؛
- تقوم بالهندسة العكسية أو فكّ التجميع أو فكّ الترميز للبرنامج، أو محاولة استخراج شفرته المصدرية، إلا في الحدود التي يسمح بها القانون رغم هذا القيد؛
- تؤجّر البرنامج أو تعيره أو تبيعه أو تعيد توزيعه أو تمنح ترخيصًا من الباطن؛
- تزيل أو تغيّر أي إشعارات ملكية أو علامات أو وسوم على البرنامج أو فيه؛
- تستخدم البرنامج لتطوير منتج منافس؛
- تستخدم البرنامج بأي طريقة غير قانونية أو لأي غرض غير قانوني.
6. الملكية الفكرية
البرنامج مرخَّص لا مَبيع. نحتفظ نحن ومرخّصونا بجميع الحقوق والملكية والمصالح في البرنامج، بما في ذلك جميع حقوق الملكية الفكرية. البرنامج محمي بقوانين حقوق التأليف والنشر والعلامات التجارية وغيرها من قوانين البحرين والدول الأخرى. اسم "GulfGrow" واسم "Garden Affairs" والشعارات المرتبطة بهما هي علامات تجارية لشركة Garden Affairs.
7. التحديثات
قد نقدّم من حين لآخر تحديثات للبرنامج. قد تضيف التحديثات ميزات أو تعدّلها أو تزيلها. تحكم هذه الاتفاقية أي تحديث، ما لم يكن التحديث مصحوبًا بترخيص منفصل، فحينها تسري شروط ذلك الترخيص.
8. الاشتراك
يتطلّب الوصول الكامل لوظائف البرنامج اشتراكًا ساريًا. شروط الاشتراك موضّحة في شروط استخدام GulfGrow. تتمّ معالجة الدفع عبر متجر Apple App Store أو Google Play.
9. إخلاء الضمانات
يُقدَّم البرنامج "كما هو" و"كما هو متاح"، مع جميع العيوب وبدون أي ضمان من أي نوع. إلى أقصى حد يسمح به القانون، تُخلي شركة Garden Affairs مسؤوليتها من جميع الضمانات، صريحة كانت أو ضمنية أو قانونية، بما في ذلك ضمانات قابلية التسويق والملاءمة لغرض معيّن والدقة والاستخدام الهادئ وعدم الانتهاك. لا نضمن أن يلبّي البرنامج متطلباتك أو أن يعمل دون انقطاع أو أن يكون خاليًا من الأخطاء.
10. حدود المسؤولية
إلى أقصى حد يسمح به القانون المعمول به، لن تكون شركة Garden Affairs مسؤولة بأي حال عن أي أضرار غير مباشرة أو عرضية أو خاصة أو تبعية أو رادعة، بما في ذلك أضرار فقدان النباتات أو المحاصيل أو الوقت أو البيانات أو الأرباح، الناشئة عن استخدامك للبرنامج أو المتعلقة به، بصرف النظر عن النظرية القانونية. لن تتجاوز إجمالي مسؤوليتنا عن أي مطالبة بموجب هذه الاتفاقية المبلغ الذي دفعته لنا مقابل البرنامج (بما في ذلك رسوم الاشتراك) خلال 12 شهرًا قبل المطالبة.
لا تسمح بعض الولايات القضائية باستثناء أو تحديد بعض الضمانات أو الأضرار، فقد لا ينطبق بعض ما ورد أعلاه عليك.
11. المدة والإنهاء
تظلّ هذه الاتفاقية سارية حتى إنهائها. تنتهي حقوقك بموجب هذه الاتفاقية تلقائيًا ودون إشعار من Garden Affairs إذا أخللت بأي شرط من شروطها. عند الإنهاء، يجب أن توقف كل استخدام للبرنامج وتُتلِف جميع نسخ البرنامج التي بحوزتك أو تحت سيطرتك. تظلّ البنود 5 و6 و9 و10 و12 و13 سارية بعد الإنهاء.
12. الامتثال للتصدير
توافق على الالتزام بجميع قوانين ولوائح التصدير المعمول بها. لا يجوز تصدير البرنامج أو إعادة تصديره إلى أي بلد يحظر القانون التصدير إليه.
13. القانون الحاكم والاختصاص القضائي
تخضع هذه الاتفاقية لقوانين مملكة البحرين، دون اعتبار لقواعد تنازع القوانين. تُحال أي نزاعات ناشئة عن هذه الاتفاقية إلى الاختصاص الحصري للمحاكم المختصة في البحرين، دون المساس بأي حقوق إلزامية لحماية المستهلك قد تتمتّع بها في بلد إقامتك.
14. أحكام عامة
تُشكّل هذه الاتفاقية، مع شروط استخدام GulfGrow وسياسة الخصوصية، الاتفاقية الكاملة بينك وبين Garden Affairs بشأن البرنامج، وتحلّ محلّ جميع الاتصالات السابقة أو المعاصرة. إذا اعتُبر أي بند من هذه الاتفاقية غير قابل للتنفيذ، تظلّ بقية البنود سارية بكامل قوّتها وأثرها. لا يُعدّ تخلّفنا عن إنفاذ أي حق أو بند من هذه الاتفاقية تنازلًا عن ذلك الحق أو البند.
